These Terms & Conditions ("Terms") govern your access to and use of the Optima-CRM software-as-a-service platform, including the web application available at me.optima-crm.com and any related mobile applications (collectively, the "Platform").
By accessing or using the Platform, you confirm that you are acting on behalf of a business or legal entity and agree to be bound by these Terms.
1. About Us
The Platform is operated and provided by OPTIMAVENTURES CONSULTANCY – FZCO ("OPTIMAVENTURES", "we", "us", or "our"), a company registered in the United Arab Emirates.
Optima-CRM is built on a licensed core technology originally developed by Optimasys Europe. OPTIMAVENTURES maintains a separate codebase and independently develops, enhances, operates, markets, and sells the Platform as a SaaS solution in multiple countries.
For the avoidance of doubt, OPTIMAVENTURES is the sole contracting party for customers accessing the Platform via me.optima-crm.com.
2. Definitions
- Customer: The business entity that registers for or subscribes to the Platform.
- User: Any individual authorised by the Customer to access the Platform.
- Subscription: The paid or trial-based right to access the Platform for a defined period.
- Customer Data: All data submitted to the Platform by or on behalf of the Customer.
3. Eligibility and Business Use
The Platform is provided strictly on a business-to-business (B2B) basis. You confirm that:
- You are authorised to bind the Customer to these Terms;
- The Platform will be used only for lawful business purposes;
- You will ensure that all Users comply with these Terms.
4. Scope of Services
Optima-CRM is a cloud-based customer relationship management and sales process management solution.
- Update, modify, or enhance features;
- Introduce new functionalities;
- Offer features, pricing, or functionality differently on a case-by-case basis;
- Discontinue or replace features.
Such changes will not materially reduce the core functionality of the active Subscription.
5. Account Registration and Security
- Maintaining the confidentiality of login credentials;
- All activities conducted under their account;
- Promptly notifying us of any unauthorised access.
We are not liable for losses resulting from compromised credentials unless caused by our gross negligence.
6. Mobile Application
The Platform may include mobile applications provided by OPTIMAVENTURES. Mobile app access is subject to these Terms and availability may depend on third-party app stores.
Apple Inc. and Google LLC are not responsible for the Platform or its content. We do not guarantee uninterrupted or error-free mobile application availability.
7. Subscriptions, Billing, and Payments
- Subscriptions are offered on a recurring basis;
- Fees are payable in advance and exclusive of applicable taxes;
- User limits, features, and usage levels depend on the selected plan;
- OPTIMAVENTURES may offer pricing or features on a case-by-case basis;
- Failure to pay may result in suspension or termination.
Free trials may be offered at our discretion and may be subject to specific conditions. Pricing revisions will be notified in advance and apply from the next renewal term.
8. Cancellation and Refunds
You may cancel your Subscription at any time. Access will remain active until the end of the current term. No refunds are provided for unused or cancelled Subscriptions except where required by applicable law.
9. Acceptable Use
- Unlawful or fraudulent activities;
- Interfering with system security or integrity;
- Reverse engineering, copying, or reselling the Platform;
- Uploading malicious or infringing content.
We reserve the right to suspend access for violations of this section.
10. Intellectual Property Rights
All intellectual property rights in the Platform are owned by or licensed to OPTIMAVENTURES and/or Optimasys Europe. Customers are granted a limited, non-exclusive, non-transferable right to use the Platform during the Subscription term.
11. Customer Data
Customers retain ownership of Customer Data. You grant us the right to host, process, and transmit Customer Data solely to provide the services. Data handling is governed by our Privacy Policy.
12. Suspension and Termination
We may suspend or terminate access immediately for non-payment, breach of Terms, or security and legal risks. Upon termination, access will cease and Customer Data may be exported upon request within a reasonable period.
13. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of uninterrupted or error-free service.
14. Limitation of Liability
To the maximum extent permitted by UAE law, OPTIMAVENTURES shall not be liable for indirect or consequential damages. Total liability shall not exceed the fees paid in the twelve (12) months preceding the claim.
15. Indemnity
You agree to indemnify and hold harmless OPTIMAVENTURES from claims arising from misuse of the Platform or violation of these Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE.
17. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
